1. Acceptance of Terms

By accessing or using Prime Techwings LLC’s website and services, you agree to be bound by these Terms and Conditions (“Terms”) and our Privacy Policy. If you do not agree, do not use our services.

Definitions:

• “Services” include IT services, staffing solutions, website, and related offerings
• “User” means any visitor, client, candidate, or service user
• “We,” “our,” “us” refers to Prime Techwings LLC
• “You,” “your” refers to the user of our services

2. Description of Services

Prime Techwings provides:

IT Services:

• Cloud solutions and migration
• Cybersecurity services
• Custom software development
• IT consulting and strategy
• Infrastructure management

Staffing Services:

• Permanent and contract staffing
• Executive search
• Bench sales
• Placement services

Additional Services:

• Training and development
• HR consulting
• Salary benchmarking
• Career services

Service Modifications: We reserve the right to modify, suspend, or discontinue any service with reasonable notice.

3. User Accounts and Registration

Account Creation:

For Job Seekers:

• Accurate information required
• One account per person
• Keep credentials confidential
• Promptly update information
• Responsible for account activity

For Employers/Clients:

• Authority to represent organization required
• Accurate company information
• Designated account administrator
• Responsible for user access
• Timely payment obligations

Account Suspension: We may suspend or terminate accounts for Terms violations, fraud, or inactivity.

4. User Responsibilities

All Users Must:

• Provide accurate and truthful information
• Maintain confidentiality of credentials
• Use services legally and ethically
• Respect intellectual property rights
• Comply with applicable laws
• Not interfere with service operations

Prohibited Activities:

You Must Not:

• Submit false or misleading information
• Misrepresent qualifications or job requirements
• Use services for illegal purposes
• Attempt to breach security measures
• Scrape or harvest data without permission
• Transmit viruses or malicious code
• Harass or discriminate against others
• Impersonate others
• Violate third-party rights
• Use automated systems without authorization

Candidates Must Not:

• Submit fraudulent credentials
• Apply for positions without authorization
• Misrepresent work history or skills
• Provide false references

Employers Must Not:

• Post discriminatory job descriptions
• Misrepresent positions or company
• Contact candidates outside our platform without authorization
• Engage in wage theft or unfair practices

5. Intellectual Property Rights

Ownership:

• All website content, design, code, trademarks owned by Prime Techwings
• “Prime Techwings” name and logo are trademarks
• Unauthorized use prohibited

Your Content:

• You retain ownership of content you submit (resumes, etc.)
• You grant us license to use for providing services
• We may anonymize and aggregate data for business purposes

Limited License: We grant you limited, non-exclusive, non-transferable license to access and use services for intended purposes.

6. Service Availability

Uptime:

• We strive for continuous availability
• No guarantee of uninterrupted access
• Maintenance may cause temporary unavailability
• Emergency maintenance may occur without notice

Technical Requirements:

• Modern web browser required
• Internet connection necessary
• Certain features may require specific technology

7. Fees and Payment Terms

Service Fees:

IT Services:

• Project-based, hourly, or retainer pricing
• Quotes provided before engagement
• Payment terms specified in agreements
• Late payments subject to fees

Staffing Services:

• Success fees for placements
• Percentage of annual salary or hourly rate
• Retainer options available
• Replacement guarantees provided

General Payment Terms:

• Payment due per invoice terms (typically Net 30)
• Late payments incur 1.5% monthly interest
• Collection costs recoverable
• Disputed charges must be raised promptly

Refund Policy:

• No refunds for completed services
• Refunds for service failures at our discretion
• Replacement guarantees per service agreements

 

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

We Are Not Liable For:

• Indirect, incidental, or consequential damages
• Lost profits or business opportunities
• Data loss or corruption
• Third-party actions or omissions
• Force majeure events
• Service interruptions
• Employment decisions by clients
• Candidate performance after placement

Maximum Liability: Our total liability limited to fees paid for the specific service in question within the 12 months prior to the claim.

No Warranties: Services provided “as is” without warranties of any kind, express or implied.

Employment Disclaimer: We are not the employer of candidates placed. Clients are responsible for employment decisions and compliance.

9. Indemnification

You agree to indemnify and hold Prime Techwings harmless from claims, damages, and expenses (including legal fees) arising from:

• Your use of services
• Your violation of these Terms
• Your violation of any law or third-party rights
• Content you submit
• Employment decisions (for employers)

10. Termination

By You:

• Close account anytime
• Email request to accounts@primetechwings.com
• Obligations survive termination

By Us:

• Terminate for Terms violations
• Suspend for non-payment
• Discontinue services with notice
• Immediate termination for fraud or illegal activity

Effects of Termination:

• Access to services ends
• Outstanding fees remain due
• Data may be retained per Privacy Policy
• Certain provisions survive (indemnification, limitation of liability)

 

11. Dispute Resolution

Informal Resolution: First, contact us to resolve disputes informally: legal@primetechwings.com

Binding Arbitration: If informal resolution fails, disputes resolved through binding arbitration:

• Administered by American Arbitration Association (AAA)
• AAA Commercial Arbitration Rules apply
• One arbitrator selected per AAA procedures
• Location: Sheridan, Wyoming or mutually agreed location
• Each party bears own costs unless arbitrator decides otherwise

Class Action Waiver: You agree to resolve disputes individually, not as class actions or consolidated proceedings.

Exceptions: Either party may seek injunctive relief in court for intellectual property or confidentiality violations.

12. Governing Law

Jurisdiction: These Terms governed by laws of the State of Wyoming and federal laws of the United States, without regard to conflict of law provisions.

Venue: Any court proceedings (if not arbitrated) shall be in state or federal courts located in Wyoming.

13. Modifications to Terms

Changes:

• We may modify Terms at any time
• Material changes posted prominently
• Email notification for significant changes
• Continued use constitutes acceptance
• Effective date updated at top

Rejection: If you don’t agree to modified Terms, discontinue use of services.

14. General Provisions

Entire Agreement: These Terms, along with Privacy Policy and service-specific agreements, constitute the entire agreement.

Severability: If any provision is invalid, remaining provisions remain in effect.

No Waiver: Failure to enforce any right doesn’t waive that right.

Assignment: You may not assign these Terms. We may assign to affiliates or successors.

Force Majeure: Not liable for failures due to circumstances beyond reasonable control.

Notices: Legal notices sent to email or mailing address on record.

Interpretation: Headings for convenience only. No presumption against drafting party.
